These terms apply to everyone taking part in the ProIntro Affiliate Program (the "Program"), operated by Postcrafts Pte. Ltd. ("ProIntro," "we," or "us"). Your participation in the Program is solely to legally advertise ProIntro and receive a commission on subscriptions purchased by people you refer to www.prointro.com through your own website, content, or personal referrals.
By applying to or joining the Program, you (the "Affiliate") accept these Affiliate Terms and Conditions (this "Agreement"). The Program is run through our partner platform, Dub (partners.dub.co), which tracks referrals and sends payouts. Your use of ProIntro itself is also governed by our Terms of Service and Privacy Policy.
1. Approval or Rejection of the Application
We reserve the right to approve or reject any application to the Program in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your application.
2. Commissions
- Rate. You earn the commission shown on the Program page at the time of the sale, currently 100% of each payment made by a customer you refer during their first 12 months as a paying customer. Payments made after those first 12 months do not earn a commission.
- Attribution. A sale counts as yours only when the customer arrives through your personal affiliate link, creates their ProIntro account after that visit, and is attributed to you by the Program's tracking. We are not responsible for referrals that are not tracked, for example because the customer blocks cookies or signs up on another device.
- Completed payments only. Commissions are earned only on payments that have been successfully collected. Free plans and free trial periods do not earn a commission. Payments that are refunded, disputed, or charged back do not earn a commission, and any commission already credited for them will be reversed.
- Holding period. Each commission is held for 30 days after the payment before it becomes eligible for payout, so that refunds and chargebacks can be taken into account.
- Payouts. Eligible commissions are paid out through the Program platform to the payout method you connect there. A minimum balance of $50 is required for a payout. You are responsible for any taxes on commissions you receive.
- No self-referrals. You cannot refer yourself, and you will not receive a commission on your own accounts or on accounts you create or pay for on someone else's behalf.
3. Termination
Your application and your status in the Program may be suspended or terminated for any of the following reasons:
- Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
- Spamming (mass email, mass newsgroup posting, etc.).
- Advertising on sites containing or promoting illegal activities.
- Failure to disclose the affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any other applicable laws.
- Violation of intellectual property rights. ProIntro reserves the right to require license agreements from those who use ProIntro trademarks in order to protect our intellectual property rights.
- Offering rebates, coupons, or any other form of promised kick-back from your affiliate commission as an incentive. Adding bonuses or bundling other products with ProIntro, however, is acceptable.
- Self-referrals, fraudulent transactions, or suspected affiliate fraud.
In addition, ProIntro reserves the right to terminate any affiliate account at any time, for any violation of this Agreement or for no reason. Commissions earned through fraud or through a breach of this Agreement are forfeited.
Dispute-Based Termination
Any affiliate with one or more payment disputes, chargebacks, or contested transactions may have their affiliate status terminated immediately at ProIntro's sole discretion. Upon such termination, all unpaid commissions will be forfeited and no further payments will be made, regardless of the dispute outcome or commission amounts owed.
4. Affiliate Links
You may use graphic and text links both on your website and within your email messages. You may also advertise ProIntro in online and offline classified ads, magazines, and newspapers.
You may use the graphics and text provided by us, or you may create your own as long as they are appropriate and do not violate Section 3.
5. Coupon and Deal Sites
ProIntro occasionally offers coupons to select affiliates and to our newsletter subscribers. If you have not been pre-approved for or assigned a branded coupon, you are not allowed to promote a coupon. The following terms apply to any affiliate promoting ProIntro in relation to a deal or coupon:
- Affiliates may not use misleading text on affiliate links, buttons, or images to imply anything other than the deals currently authorized for that specific affiliate.
- Affiliates may not bid on "ProIntro coupons," "ProIntro discounts," or other phrases implying coupons are available.
- Affiliates may not generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has expressed a clear and explicit interest in activating a specific saving by clicking a clearly marked link, button, or image for that particular coupon or deal. Your link must send the visitor to the ProIntro website.
- Users must be able to see the coupon, deal, or savings information before an affiliate cookie is set ("click here to see coupons and open a window to the merchant site" is not allowed).
- Affiliate sites may not show "Click for (or to see) Deal/Coupon," or any variation, when no coupons or deals are available and the click opens the ProIntro website or sets a cookie. Affiliates with such text will be removed from the Program immediately.
6. Pay Per Click (PPC) Policy
PPC bidding is not allowed without our prior written permission. This includes bidding on "ProIntro" or any variation or misspelling of it as a keyword.
7. Liability
ProIntro will not be liable for indirect or incidental damages (including loss of revenue or commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program or to our website.
We do not make any express or implied warranties with respect to the Program or the subscriptions sold by ProIntro. We make no claim that the operation of the Program or our website will be error-free, and we will not be liable for any interruptions or errors.
8. Term of the Agreement
The term of this Agreement begins when you are accepted into the Program and ends when your affiliate account is terminated.
We may modify the terms and conditions of this Agreement, including commission rates, at any time. If any modification is unacceptable to you, your only choice is to terminate your affiliate account. Your continued participation in the Program will constitute your acceptance of the change.
9. Indemnification
Affiliate shall indemnify and hold harmless ProIntro, HeadshotPro, and their affiliate and subsidiary companies, officers, directors, employees, licensees, successors, and assigns, including those licensed or authorized by ProIntro to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.
10. Governing Law, Jurisdiction, and Legal Fees
This Agreement is governed by the laws of Singapore, without regard to conflict of law principles. Any dispute arising under or related in any way to this Agreement shall be resolved exclusively in the courts of Singapore.
In the event of litigation to enforce any provision of this Agreement, the prevailing party will be entitled to recover from the other party its costs and fees, including reasonable legal fees.
11. Electronic Signatures Effective
This Agreement is an electronic contract that sets out the legally binding terms of your participation in the ProIntro Affiliate Program. You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in it by completing the application process on the Program platform. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
